OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, FOR ACCESSING THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Tennessee for the resolution of any disputes. You waive any objection to such jurisdiction on the grounds of venue, forum non conveniens, or any similar grounds.
Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, termination, or validity thereof, shall first be addressed through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue legal remedies as provided herein.
YOU AGREE THAT ANY PROCEEDING TO RESOLVE ANY DISPUTE WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR OTHER COLLECTIVE PROCEEDINGS.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.
These Terms, together with our Privacy Policy and any other legal notices published by us on the Services, constitute the entire agreement between you and On Site Global Solutions, L.L.C. regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
